Senior Partner
Osbert obtained his Postgraduate Diploma in Laws from the College of Law of England and Wales in 2002, his Postgraduate Certificate in Laws from the University of Hong Kong in 2004 and was admitted as a solicitor in Hong Kong in 2006. He is a founding partner at Allbright Law (Hong Kong) Offices LLP, heading the firm’s Regulatory & Compliance Department.
Osbert specializes in handling regulatory investigations and enforcement actions by regulatory authorities including the Securities and Futures Commission, the Hong Kong Stock Exchange, the Independent Commission against Corruption and the Commercial Crime Bureau of Hong Kong Police.
He advises listed companies and its directors and senior management, licensed corporation and licensed individuals on all aspects of investigations and enforcement actions, including investigations and disciplinary hearings relating to complex white-collar crimes and market misconduct such as insider dealing, false trading, price rigging, market manipulation and money laundering.
Osbert also specializes in handling dawn raids and interviews conducted by Hong Kong regulatory authorities. In addition, he is strong in conducting independent forensic investigations and dealing with resumption of trading for Hong Kong listed companies. He also advises listed companies on their continuing compliance obligations under the relevant laws and regulations concerning securities in Hong Kong.
Apart from regulatory enforcement litigation, Osbert also has extensive experience in a wide array of commercial litigation and international arbitration in relation to matters such as shareholders disputes, directors’ duties, company winding-up, cross-border enforcement, employment disputes, financial products disputes, competition, high value family trusts and commercial fraud.
Professional Experience
• Conducted independent investigation for the Audit Committee of Morris Holdings Limited (Stock Code: 1575) in relation to queries raised by the company’s former auditors concerning transactions between the subsidiaries of the Listed Company and their suppliers and customers. Our firm issued an investigation report within a tight timeframe of 3 months after suspension of trading, and the trading of the company’s shares was successfully resumed within 6 months of suspension of trading.
• Provided legal advice to Raffles Interior Limited (Stock Code: 1376) in relation to its resumption and handled all enquiries and investigations by the regulators since its suspension. An independent investigation is also conducted into a series of pre- and post-listing transactions in order to satisfy the requirements of the resumption guidelines given by the Stock Exchange. With our assistance and advice, the Company has successfully applied for the resumption of trading in its shares.
• Provided legal advice to China New Energy Limited (Stock Code: 1156) in relation to its resumption and handled all enquiries and investigations by the regulators since its suspension. An independent investigation is also conducted into a series of pre- and post-listing transactions in order to satisfy the requirements of the resumption guidelines given by the Stock Exchange. With our assistance and advice, the Company has successfully applied for the resumption of trading in its shares.
• Conducted independent investigation for Million Stars Holdings Limited (Stock Code: 8093) regarding announcements by the company of a proposed acquisition which did not materialize and prepared an independent investigation report for the company.
• Assisted Mainland companies listed in Hong Kong and SFC licensed corporations and licensed individuals in handling enquiries and investigations by regulatory authorities, and handling resumption of trading of listed companies after suspension.
• Represented a number of clients in handling search and investigation actions by the Independent Commission Against Corruption, the Commercial Crime Bureau and the Securities and Futures Commission, assisted clients in attending relevant interviews, and represented clients in defending relevant criminal proceedings.
• Served as an annual legal adviser to Hong Kong listed companies and corporations engaged in various principal businesses. The scope of work includes but is not limited to reviewing contracts and agreements entered into during the ordinary course of business, providing oral and/or preliminary written advice on decision-making matters, general legal and compliance issues arising from business operations, banking and/or financing, and employment and consumers disputes.
