MENG, Sharon

Ms. Meng is a partner at AllBright Law Offices and is admitted to practise law in the PRC. She also holds the PRC Senior Corporate Compliance Professional qualification.

Before joining AllBright, Ms. Meng practised at leading PRC law firms and worked in-house at a AI company. That combination gives her both hands-on operating experience and full-cycle transactional experience, together with a first-hand understanding of how technology businesses run, how founding teams make decisions and how they approach capital. In 2026 she was named a GRCD China Rising Star, and transactions on which she has worked have received ALB Deal of the Year awards, IFLR1000 China Deal of the Year awards and China Business Law Journal's Deals of the Year awards.

M&A and funds. Ms. Meng has advised PRC and international companies and private equity funds on close to 100 equity investment, M&A and fund formation matters, handling the full life cycle of a transaction — deal structuring, corporate reorganisation, legal due diligence, the drafting and negotiation of transaction documents, valuation adjustment and redemption mechanisms, and closing. Her sector experience spans artificial intelligence, semiconductors, biopharmaceuticals, new energy and consumer businesses.

Listings and corporate restructuring. Ms. Meng has acted on a range of onshore and offshore transactions, including the A-share listing of JinkoSolar (688223.SH) on the STAR Market — the largest STAR Market IPO in the new energy sector by proceeds to date — and the Hong Kong dual primary listing of HUTCHMED (00013.HK; HCM.US). She is familiar with a listing in its entirety, from pre-IPO restructuring through filing and disclosure.

Artificial intelligence and digital assets. As a member of AllBright's Digital Technology and Artificial Intelligence Committee, Ms. Meng advises companies across the AI value chain — AI chips, AI computing infrastructure, large-model data annotation, embodied intelligence, robotics and automotive AGI — on financing, M&A and operational compliance. In digital assets, her team has executed a number of innovative structures, including valuation, pricing and the conversion of rights under "equity plus token" dual-track financings, structures that ring-fence operating risk from licensing risk for global trading platforms, and stablecoin payment compliance. She has represented prominent start-ups and funds in this space, including stablecoin payment platforms, digital asset custody providers and Web3 investment funds.
