Allbright assists Linamar Corporation in setting up regional headquarters of multinational companies and complete special equity restructuring

[Summary]Recently, the opening ceremony of Linama (China) Investment Co., Ltd. and the awarding ceremony of regional headquarters of multinational companies were held in Wuxi. Mayor Huang Qin of Wuxi and CEO Linda Hasenfratz of Linamar Corporation attended the ceremony. Allbright provided full legal services for the establishment of the Asia Pacific headquarters of Linamar Corporation and the special equity restructuring project in China.

Linamar Corporation is a world-class power assembly precision parts design and manufacturing supplier listed on the Toronto Stock Exchange of Canada. It is the world’s top 100 auto parts enterprises and the second largest auto parts supplier in Canada. Its main products include mobile industrial equipment, harvesting equipment, precision metal parts, power assembly, transmission system and body modules and system, etc. Linamar Corporation has 61 production bases around the world, more than 27,600 employees around the world, with sales of more than 7.6 billion cad in 2018.

 

Currently, Linamar Corporation has offices and production bases in Shanghai, Tianjin, Chongqing and Wuxi, respectively. These entities were invested by Linamar Corporation directly or indirectly through Linamar Luxembourg company. Considering the global tax planning and the convenience of centralized operation capital pool, Linamar Corporation decided to set up the regional headquarters in the Asia Pacific region, which directly holds the equity of Tianjin, Chongqing, Wuxi and other subsidiaries in the Asia Pacific region. After more than one-year’s reorganization, Linamar Corporation has completed the registration of Linama (China) Investment Co., Ltd., and has been recognized by the transnational regional headquarters of Jiangsu Provincial Department of Commerce, and has completed all equity restructuring and special tax treatment and declaration.

 

The special equity restructuring lasted nearly one year, involving the equity of multiple subsidiaries of Linamar Corporation, including Shanghai, Tianjin, Chongqing, Wuxi, etc., and involving legal areas including Luxembourg, Canada, China, etc. Allbright associates worked closely with the Legal Affairs Department of Linamar Corporation headquarters and legal advisers and accountants in Canada, Europe and other places to complete the project in a timely and efficient manner, which was praised and appreciated by Linamar Corporation.
